ADDITIONAL TERMS & COMMUNITY GUIDELINES

 (Note: These terms are referenced in the Membership Agreement and are incorporated therein.) Practice Works will make every effort to deliver Membership benefits and services as outlined in the Membership Agreement. Member acknowledges that Practice Works does not have any liability with respect to Member’s access, participation in, use of Services, or any loss of information resulting from such participation or use. Practice Works will do its best to ensure electricity, heat, AC, and internet uptime but does not guarantee 100% uptime for all Services and is not responsible for losses incurred to Member during down-time and/or circumstances beyond Practice Works’ control. Member understands and agrees that Practice Works Services are provided “AS IS” and that temporary interruptions, disruptions, and/or delays of Practice Works Services may occur as normal events and Practice Works is not to be held responsible and/or accountable in any way for such events. Member acknowledges and agrees that in order to access and/or use the Practice Works network and to use Practice Works printers and other shared devices, Member may have to install drivers and software to be provided by Practice Works to Member. Member agrees that Practice Works shall not be held liable for any damage resulting to the computer systems, hardware, software, files, and business of Member, its agents, assigns, employees, affiliates and customers due to use and/or installation of said software/drivers, irrespective of negligence on the part of a third-party vendor or agent of Practice Works. Member shall release Practice Works from any claim or liability of and for Member, its agents, assigns, employees, affiliates and customers arising from and in conjunction with the use of said software and/or drivers.

  1. HOURS OF OPERATION: Practice Works regular hours of operation are as follows: Mon-Thurs: 8am-5pm; Friday 8am – 4pm. Sat and Sun: as needed by Practitioner members.
  2. INTERNET POLICY: Wireless access to the Internet is provided during Member’s membership. Service interruptions, if they occur, will be handled as promptly as possible. Practice Works is not responsible for any data, business or other losses as a result of such interruptions. Member is responsible for protecting Member’s own computer and data from electrical surges, theft, virus, or other malicious attack. Practice Works does not take any responsibility for the security, content, network distribution, and use of any of the information that is processed, transmitted, received, or any other means communicated through the Internet service that is provided. Practice Works is not responsible for any damages or losses that are the result of any security breaches of network services from the Internet or within the Practice Works building (“Building”). Any misuse of the Internet and/or Services provided is grounds for termination of the Membership Agreement. Member agrees that when participating in or using Practice Works Services, Member cannot:
    1. Use the Services in any manner that could damage, disable, overburden, or impair any Practice Works server or network(s);
    2. Disrupt or significantly slow down the remaining computers in the Building through excessive usage of internet services/bandwidth;
    3. Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming, spimming or any duplicative or unsolicited message(s) (commercial or otherwise);
    4. Attempt to gain unauthorized access to any Services, accounts, computer systems or networks connected to any Practice Works server or to any of the Services, through hacking, password mining or by any other means;
    5. Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through Practice Works’ servers, bandwidth, notice boards, events, and/or Practice Works Services;
    6. Use any material or information, including images, files, photos, software or other material which are made available through the Services in any manner that infringe intellectual property laws, copyright, trademark, patent, trade secret, or other proprietary rights of any party;
    7. Upload files that contain viruses, trojan horses, worms, time bombs, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another;
    8. Download any file(s) that cannot be legally reproduced, displayed, performed, and/or distributed in such manner;
    9. Harvest, attempt to intercept, store, and/or otherwise collect information about others, including email addresses, without the knowledge and authorization or consent of the disclosing party;
    10. Post or transmit content Member does not have the right to post or transmit;
    11. Post or transmit content that is unlawful, untrue, stalking, harassing, defamatory, abusive, threatening, obscene, hateful, harmful or otherwise objectionable as determined by Practice Works’ sole discretion;
    12. Use the Service/network to send altered, deceptive or false information;
    13. Interfere or attempt to interfere with the access of any user, host or network, including without limitation, sending a “virus,” overloading, “flooding,” “spamming,” “crashing,” or “mail bombing” the Service or any Practice Works or related website or network; or
    14. Install, maintain, damage, or otherwise locate at Practice Works any computer server of any kind, whether hardware or software.
  3. OTHER COMMUNITY GUIDELINES: Member acknowledges and agrees that Member cannot:
    1. Solicit any other Members in the Building;
    2. Restrict or inhibit any other user from using and enjoying the Services;
    3. Violate applicable laws or regulations and/or conduct any illegal activity;
    4. Defame, abuse, harass, stalk, threaten or violate the legal rights of others;
    5. Create a false identity for the purpose of misleading others;
    6. Obstruct any entranceway, create any circumstances of disrepair or damage any Practice Works property;
    7. Place anything in the common areas which may in Practice Works’ judgment, appear unsightly from the common areas or the Building;
    8. Alter, remodel, and/or redecorate the Space or Building;
    9. Cause any unnecessary labor or services by reason of Member’s carelessness or indifference in the preservation of good order and cleanliness;
    10. Bring, use or keep any kerosene, gasoline or flammable or combustible fluid or material store, manufacture or sell explosives, flammables or other dangerous substance, chemical, thing or device from, in, and around Building;
    11. Sell or cause to be sold items or services at retail in or from the Building unless explicitly understood and agreed to in writing;
    12. Conduct any auction nor permit any fire or bankruptcy sale;
    13. Conduct any activity that is regarded as offensive and/or which may be hazardous to other people or act in any way that may damage anything in the Building;
    14. Create unreasonable noise at the Building that will disturb others or use any communication devices in a manner that will disrupt others;
    15. Make any changes in the Space or the Building (including but not limited to rearranging furniture, other than private room set-up as described in Exhibit A of the Membership Agreement) without prior consent;
    16. Affix, attach or otherwise display any poster, sign, stickers, or materials in the Building, walls, windows, or on/near workstations/desks;
    17. Use any tobacco product including cigarettes, e-cigarettes (vaping) or smokeless tobacco in or around the Building;
    18. Bring any pets/animals in the Building, other than service animals.
  4. Member, its agents, employees or invitees shall not engage in any actions which violate the Membership Agreement in any way. By signing the Membership Agreement, Member agrees to the following additional general terms and conditions of Member membership:
    1. BUILDING ACCESS: The Building uses an automated entry system that requires a card or entry code (“Means of Access”). The Means of Access are not transferable and are for the sole use of the Member. Members may not at any time, allow another person to use their Means of Access. Member may not allow visitors entrance/access to the Building without accompanying them at all times. Member acknowledges that it is Member’s responsibility to safeguard the Means of Access provided and that Member’s negligence and/or failure to safeguard such Means of Access may constitute a breach of Membership Agreement and result in termination. In the event of electrical, software and/or hardware failure, access to the Building may not be available. During such events, Practice Works will do its best to accommodate access to the Building but does not guarantee full access based on scheduled hours and is not liable for any damages Member may incur as a result. Upon the termination of Services, Member shall deliver to Practice Works all Means of Access and passes for Building, Space, and/or rooms. Member shall not make, or cause to be made, any such keys. Member’s credit-card on file shall be charged $50.00 for any lost Means of Access.
    2. STORAGE: Perishable liquids and food are discouraged in storage units outside of the Breakroom. Member shall not store anything that violates any of the Membership Agreement. Practice Works is not responsible for Member’s personal supplies, equipment, or other items that are left at the Building.
    3. EQUIPMENT: Member is to contact a Practice Works representative for assistance in using equipment. Member is not to mishandle or provide maintenance or alterations to any of the equipment, furniture, or any other items provided for use by Practice Works. If the Member breaks or causes damage to any equipment provided or owned by Practice Works through negligence or misuse, the Member will be held responsible for any repair and/or replacement costs.
    4. CONFERENCE ROOMS: Conference rooms are available to Members based on availability with advanced notice and in accordance with Member’s membership plan. Member cannot exceed usage/capacity limitations without prior approval from Practice Works. Unused conference use time does not roll over or accrue from month to month. Practice Works reserves the right to relocate/modify conference rooms within the Building and enforce time and/or maximum capacity allocation restrictions. Conference rooms are for meetings with Practice Works Members, renters, employees and clients and not to be used for events unless authorized by Practice Works. Member may not re-sell or donate conference room time to anyone.
    5. EVENTS/MEETINGS: Certain networking events, workshops, and/or meetings require specific Building/time allocations. Advance notice will be given to Members of such planned events.
    6. MAIL DELIVERIES: Pro Works level members shall have the option to receive mail at the Building. If member elects to do so it shall be considered a designation of Practice Works as the authorized agent for the receipt of mail, packages and any other parcels. Practice Works is not responsible for lost or damaged mail/packages. Practice Works reserves the right to refuse and/or limit mail receipt/management providing Member reasonable notice and 10 business days for Member to make alternate arrangements.
    7. LANDLINE: Practice Works landline number serves as a main way for our members, customers, and the public to reach us. It is important that Practice Works phone number remain dedicated to the main functions and service of Practice Works as a business. Therefore, members should not list the Practice Works landline number as their business number. Practice Works landline should not be listed on professional databases for any member. Practice Works landline should not be listed on any promotional, marketing, or professional material for any member.
    8. PARKING & BUILDING SERVICES: Practice Works is not responsible for any damages or losses inflicted on Member’s and/or any visitor’s vehicle when using the parking services provided by the Building.
    9. VISITOR POLICY: Visitors are allowed when Member is present. Member is always responsible and accountable for the behavior/conduct of its visitors. All visitors are responsible for their own belongings. Member assumes all liability and responsibility for all actions that may occur to themselves, their visitors, representatives, employees, contractors, or anyone that the Member brings to the Building. This applies to, but not limited to, bodily injury, property damage, stolen or missing items, or any other such damage that causes harm in any way to the Member, Member’s visitors, representatives, employees, contractors, or anyone that the Member brings to the Building.
    10. SERVICE ANIMALS: Practice Works welcomes service animals in compliance with ADA requirements. Emotional support or comfort animals are also allowed in private consult sessions or in the common areas, however, they cannot be accommodated in classroom settings. All visiting animals must always stay under the control and supervision of their handler. If another Practice Works community member or guest has allergies or sensitivities to an animal presence, the emotional support animal and their handler may be asked to move to a different area. Other than leashes or restraints please do not bring additional animal equipment, such as toys, beds, or food into Practice Works. Pets are not allowed at Practice Works.
    11. LINENS: Practice Works professional members are permitted to bring personal linens for use in delivering professional services. Dirty/used linens should be stored in accordance with current State Board of Massage Therapy guidelines and must be removed from Practice Works daily. No dirty linens are to be left onsite overnight.
  5. If Practice Works suspects violations of any of the above, Practice Works will investigate and may institute legal action, immediately deactivate Service to any account without prior notice to Member and cooperate with law enforcement authorities in bringing legal proceedings against violators. Member acknowledges that Member will cooperate fully with law enforcement authorities in investigating suspected criminal and/or illegal violations. Member agrees that Practice Works may, at any time, and at Practice Works’ sole discretion, terminate Member’s membership, account, or other affiliation with the Building and/or Services without prior notice to Member for violating any of the provisions in the Membership Agreement.
